Our Contract Terms
When you hire us to take care of your website, graphic design, and marketing needs, you can trust that we will uphold our end of the deal. Here are our contract terms:
The following terms and conditions apply to all website design & development services provided by Making The Impact LLC to the client. Please read these terms and conditions carefully, as any purchase or use of our services implies that you have read and accepted our terms and conditions.
Commencement of Work
Payment of the initial deposit will be considered an acceptance of the contract for work.
Turnaround Time
The estimated turnaround time is given as a general idea of when the project may be completed and is not guaranteed.
Every project is different and may require more time or less time than initially estimated. Sometimes projects can be delayed while waiting on content or if we encounter other unexpected delays or difficulties. We will do our best to meet deadlines and deliver service promptly, regardless of the circumstances.
If you desire a change or wish to expand on the work that is being done, contact us. Anything that goes beyond the work outlined in the estimate may incur additional charged. The additional work and charges will not be done without your consent.
Additional Expenses
Client agrees to reimburse Making The Impact LLC for any additional expenses necessary for the completion of the work. Examples would be custom photography, content creation, purchases of special fonts or stock photography etc.
Training & Support
Upon delivery, Making The Impact LLC will organise a training session with anyone who needs training to use the website. During the session, all participants will learn how to update pages, upload content and make any basic changes to the website.
Domain Names & Hosting
Note that Making The Impact LLC does not offer hosting ourselves, but we do host with third parties. While the third party is chosen based on a trusting and successful relationship in the past, Making The Impact LLC is not responsible for any shortcomings or errors that may occur on the part of the third parties.
Making The Impact LLC may purchase domain names on behalf of the client. Payment and renewal of these domain names is the responsibility of the client. The loss, cancellation or otherwise of the domain brought about by non or late payment is not the responsibility of Making The Impact LLC. The client should a record of the due dates of payment to ensure that payment is received in good time.
Third-party Plugins and Services
Making The Impact LLC is not responsible for any expenses or services outside the scope of the project. This includes, but is not limited to:
- Website analytics plans
- Marketing software
- Payment processing services
- Shopping carts
- Domain names
- Web hosting
- Security services
Any plans, services, plugins, themes, or other works that are not free and not included in the project outline will be the responsibility of the client. The client agrees to either pay those services directly or reimburse Making The Impact LLC for those expenses.
Ownership
The client will gain the total ownership of the finished, assembled web pages, templates, graphics, logos, branding, artwork, marketing copy, source code and instructional material produced by Making The Impact LLC. Ownership of stock photos, videos, fonts, and other works that were purchased and used in the project will remain with the original author or creator.
Browsers
Making The Impact LLC makes every effort to ensure websites are designed to be viewed by the majority of visitors. Websites are designed to work with the most popular current browsers (Google Chrome, Firefox, Internet Explorer 8 & 9). Client agrees that Making The Impact LLC cannot guarantee correct functionality with all browser software across different operating systems. Making The Impact LLC cannot accept responsibility for web pages which do not display acceptably in new version of browsers released after the website have been designed and handled over to the client. As such, Making The Impact LLC reserves the right to quote for any work involved in in changing the website design or code for it to work with updated browser software.
Liability & Warranty
Making The Impact LLC liability will be limited to the cost of supply for this work. Making The Impact LLC is not responsible for any indirect losses. Once a client has agreed to a look and feel proof and instructed Making The Impact LLC to proceed to develop, any subsequent changes in style or design requested by the client will be charged for at the appropriate flat or hourly rate.
Termination of contract
The contracting party will not have the right to cancel this contract after the project has commenced. If, after commencing the project, the contracting party decide not to continue with project development, then the contracting party is obliged to pay the total amount of work that has been completed up to the day of cancellation at the appropriate flat or hourly rate.
Governing Law
This agreement shall be governed by and construed in all respects in accordance with the laws of Oklahoma.
